Origin Acoustic Inc. (“ORIGIN”) has unilaterally adopted the following policy (“the Policy”) regarding the Authorized Dealers (“DEALER”) to whom it will sell certain products. ORIGIN believes that, due to the complexity and rich features of its products, the interests of ORIGIN and its ultimate customers (who buy from DEALERs) are best served by having DEALERs who market ORIGIN’s products as premium brand products, and who provide an outstanding level of service and support to the ultimate customers. ORIGIN recognizes that DEALERs who do not provide high levels of service and support to their customers will have a cost advantage over those DEALERs who do. ORIGIN believes that selling to DEALERs who do not provide high levels of service and support is detrimental to the interests of ORIGIN as it competes with other brands for the business of ultimate customers. ORIGIN is convinced that it will not be able to compete effectively in the long run with premium products if DEALERs who do not provide marketing support and high levels of customer service make it economically unattractive for DEALERs who do provide such marketing support and customer service to carry ORIGIN’s products.
Therefore, ORIGIN has unilaterally adopted the following Policy to assist it in selling only to those DEALERs who serve and support ultimate customers and who protect the value associated with the “ORIGIN” brand name in accordance with ORIGIN’s high expectations. This Policy applies to all DEALERs who buy ORIGIN’s products for resale in the United States.
ORIGIN will publish to its DEALER customers from time to time a list of products containing suggested minimum retail prices for those products in the United States. ORIGIN believes that those Suggested Minimum Retail Prices will generate a sufficient margin for the DEALER to enable the DEALER to provide the high levels of marketing support and service to its end user customers that ORIGIN expects from its DEALERs.
This Policy shall continue to be effective with respect to the most recent version of any Minimum Advertised Price List that ORIGIN may publish from time to time.
Each ORIGIN DEALER is free to independently decide whether or not to follow this Policy. ORIGIN does not ask for, nor will ORIGIN accept, any assurance of compliance or agreement from a DEALER regarding this Policy. Moreover, ORIGIN will not discuss any conditions of acceptance related to this Policy. Nothing in this Policy is intended to be, nor shall be construed to be, an agreement between ORIGIN and any DEALER as to the prices at which the DEALER advertises or resells ORIGIN products.

Written responses from this email address are the only communications regarding this Policy authorized by ORIGIN.
Although it is ORIGIN’s goal to respond to all communications regarding this Policy, ORIGIN may choose to not respond to some communications. If ORIGIN does not respond to a particular communication, no meaning should be attributed to this fact. If you contact ORIGIN regarding sales by other DEALERs, you will not be contacted back regarding any investigation undertaken or its results. ORIGIN independently and unilaterally administers this Policy.
No ORIGIN representative or employee has authority to modify or alter this Policy or to request that certain products not be advertised or sold below certain prices. Any comments to the contrary by any ORIGIN sales representative or employee are expressly unauthorized and disclaimed by ORIGIN.
The foregoing Policy and any Suggested Minimum Retail Price List are subject to modification or discontinuance by ORIGIN, in its sole and absolute discretion, at any time.
